Governance, information and exit

Company & Shareholder Disputes in China

We assess mainland company and joint-venture disputes affecting foreign investors, including information rights, governance, distributions and possible exit routes.

The problem

What shareholder right is affected?

Identify the company, shareholding, governing documents and disputed decision before selecting a claim. A commercial wish to exit does not itself establish a right to a forced buyout.

Routes and remedies to assess

The contract, evidence, forum and applicable law determine which options are available.

  • Assess information and inspection requests and any procedural prerequisites.
  • Review disputed resolutions, governance and shareholder obligations.
  • Assess distribution, liability and exit claims on the specific record.
  • Review preservation and evidence measures where available.

From assessment to the next procedural step

These are stages, not promised completion dates. Service, objections, evidence, appeals and assets affect timing.

Step 1Assessment

Review the record

Confirm the parties, facts, forum and commercial objective.

Step 2Preparation

Close evidence gaps

Prepare authority, evidence, translations and any urgent application.

Step 3Proceedings

Pursue the selected route

Address filing, service, objections and evidence under the applicable procedure.

Step 4Follow-through

Assess settlement or collection

Review the result, reachable assets and the costs of the next step.

What to prepare for an assessment

  • Company registration, articles and shareholder or JV agreement.
  • Shareholding and contribution records.
  • Resolutions, notices and denied information requests.
  • Financial records and the proposed commercial outcome.

Costs, timing and recovery risk

Budget separately for legal work, court fees, translation, authentication, expert evidence and any preservation security or insurance. The amount disputed is not the amount recoverable. Obtain a scope-specific proposal and reassess costs if the forum, evidence or asset picture changes.

Common questions

Potential claims depend on standing, rights, company documents and the applicable procedure.

A buyout or dissolution needs a supported legal or contractual route; neither is an automatic response to disagreement.

Authorization and the court's participation requirements should be checked for the particular case.
